1. Definitions
In these Terms and Conditions, the following terms have the meanings given below:
- "Pinecrest Helm", "we", "us", "our" — Pinecrest Helm, a supply chain consulting practice registered in Malaysia, with offices at Level 6, Menara Hap Seng, 1 & 3 Jalan P Ramlee, 50250 Kuala Lumpur.
- "You", "User", "Client" — any person or organisation accessing this website or engaging Pinecrest Helm for consulting services.
- "Services" — the supply chain consulting engagements offered by Pinecrest Helm, including Supply Chain Mapping Reviews, Supplier Relationship Reviews, and Logistics Planning Sessions.
- "Engagement Agreement" — the written agreement (including scope of work, fee, and timeline) entered into between Pinecrest Helm and a Client prior to the commencement of any Services.
- "Deliverables" — any written reports, maps, summaries, or other documents produced by Pinecrest Helm in the course of an engagement.
- "Website" — the website accessible at https://pinecresas and all pages contained therein.
2. Acceptance of Terms
By accessing this website or submitting an enquiry, you acknowledge that you have read these Terms and Conditions and agree to be bound by them. If you do not agree with any part of these terms, please refrain from using this website.
These terms apply to use of the website and to any preliminary discussions. The terms governing a specific consulting engagement are set out in the relevant Engagement Agreement, which takes precedence over these general terms in the event of any inconsistency.
You represent that you are at least eighteen years of age and have the legal capacity to enter into these terms. Use of this website by persons under the age of eighteen is not permitted.
3. Service Description
Pinecrest Helm provides advisory consulting services in the area of supply chain management to businesses in Malaysia. Our three engagement types — Supply Chain Mapping Review, Supplier Relationship Review, and Logistics Planning Session — are described on our website and in more detail within each Engagement Agreement.
Services are available to organisations operating within Malaysia. Engagements requiring significant travel to East Malaysia or outside Malaysia are subject to additional discussion and agreement before commencement.
Availability of Services is subject to Pinecrest Helm's capacity at the time of enquiry. We make reasonable efforts to accommodate enquiries in a timely manner but do not hold places or commit to timelines until an Engagement Agreement has been signed.
4. User Responsibilities
Users of this website agree not to use it for any unlawful purpose, to transmit harmful or misleading content, or to attempt to interfere with the operation of the website or its server infrastructure.
Clients engaging Pinecrest Helm for Services agree to provide accurate and complete information necessary for the conduct of the engagement, to make relevant personnel available for interviews and conversations within agreed timeframes, and to handle Deliverables in accordance with the confidentiality provisions of the Engagement Agreement.
5. Intellectual Property
All content on this website — including text, design, layout, and any visual elements — is the property of Pinecrest Helm and is protected under applicable Malaysian intellectual property law. Reproduction of website content for commercial purposes without written permission is not permitted.
Deliverables produced during a consulting engagement are created for the specific use of the Client and are delivered under a limited, non-exclusive licence for the Client's internal business use. Clients may share Deliverables internally across their organisation. Sharing Deliverables externally, or using them for purposes other than those agreed in the Engagement Agreement, requires written consent from Pinecrest Helm.
Pinecrest Helm retains the right to refer to engagements in general terms for the purpose of describing its services, subject always to applicable confidentiality obligations.
6. Payment Terms
Fees for Services are set out in the relevant Engagement Agreement and are quoted in Malaysian Ringgit (MYR). Fees are fixed for the scope of work described and do not increase without prior written agreement.
Payment terms are specified in each Engagement Agreement. Where applicable, an upfront payment or deposit may be required before commencement of work. Invoices are payable within fourteen days of issue unless otherwise stated.
Travel and accommodation costs for engagements requiring significant travel beyond the Klang Valley are discussed and agreed separately before engagement begins and are invoiced at cost without markup.
In the event of cancellation by the Client after an Engagement Agreement has been signed, any portion of work completed will be invoiced. Pinecrest Helm will make reasonable efforts to minimise costs in the event of early termination.
7. Engagement-Specific Terms
Supply Chain Mapping Review and Supplier Relationship Review
These engagements are conducted over a defined period and conclude with the delivery of written Deliverables. The timeline and specific deliverable formats are agreed in the Engagement Agreement. Changes to scope requested after commencement are subject to discussion and may affect timeline and fee.
Logistics Planning Session
This engagement consists of a single structured session preceded by a preparatory call and followed by a written summary. The planning session is a professional advisory conversation and does not constitute legal, financial, or regulatory advice. The written summary records discussion points and options — the decision and any subsequent action remain entirely with the Client.
Confidentiality
All engagement-specific confidentiality terms are set out in the mutual non-disclosure agreement signed prior to each engagement. These terms are independent of and in addition to any confidentiality provisions on this website.
8. Disclaimers
The information on this website is provided for general informational purposes and does not constitute professional advice. Consulting services are advisory in nature. Pinecrest Helm observes, documents, and offers considered perspectives — decisions and their consequences remain with the Client.
We make reasonable efforts to ensure that website content is accurate and current. However, we make no warranties as to the completeness or accuracy of information on this website and accept no liability for errors or omissions.
Pinecrest Helm does not hold itself out as a provider of legal, financial, regulatory, or engineering advice. Where engagements touch on areas requiring such expertise, Clients should seek appropriate specialist advice independently.
9. Limitation of Liability
To the fullest extent permitted by Malaysian law, Pinecrest Helm's liability to any Client in connection with any engagement shall not exceed the total fees paid by that Client for the relevant engagement.
Pinecrest Helm shall not be liable for indirect, consequential, or special losses arising from the use of this website or from reliance on Deliverables, including loss of profit, loss of business opportunity, or loss arising from decisions made in reliance on advisory findings.
Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence, or for any other liability that cannot be excluded by law.
10. Termination
Either party may terminate an Engagement Agreement with written notice, subject to the payment provisions set out in that agreement. Pinecrest Helm reserves the right to decline or discontinue an engagement where it determines, in good faith, that proceeding is not appropriate.
These website Terms and Conditions remain in effect indefinitely and apply to all users. Sections relating to intellectual property, liability, and governing law survive any termination.
11. Governing Law and Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from these terms or from an engagement shall be subject to the exclusive jurisdiction of the courts of Malaysia.
Before commencing formal proceedings, both parties agree to attempt to resolve disputes informally through direct discussion for a period of at least twenty-one days. Where informal resolution is not achieved, disputes may be referred to a mutually agreed mediator before litigation.
12. Changes to These Terms
We may update these Terms and Conditions from time to time. The effective date at the top of this page reflects the most recent revision. Continued use of this website following any update constitutes acceptance of the revised terms. We will make reasonable efforts to notify users of material changes through a notice on the website homepage.
